Acceptance of Terms
These Terms of Service ("Terms") govern your use of WiseRouter, an AI Model Router API (the "Service"), by SkyScript Pty Ltd ("we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use the Service. If you are using the Service on behalf of an organization, you are agreeing to these Terms on behalf of that organization and affirming that you have the authority to do so.
API Usage and Limits
The Service implements rate limits and usage quotas based on your subscription plan. We reserve the right to modify these limits at any time. Exceeding rate limits will result in request rejection.
API Key Security
You are responsible for maintaining the security of your API keys. You must not embed API keys directly in client-side code or public repositories. While our service necessarily shares your API requests with third-party AI providers, you must not otherwise share your API keys with unauthorized parties. You must immediately notify us of any unauthorized use or suspected compromise of your API keys. We reserve the right to revoke API keys that we believe have been compromised.
Privacy Policy
By accepting these Terms, you also agree to our Privacy Policy, which describes how we collect, use, and share your information. Our Privacy Policy is incorporated into and forms part of these Terms.
Service Availability and Performance
While we strive for high availability, we do not guarantee uninterrupted access to the Service. The Service may experience planned or unplanned maintenance windows, temporary unavailability due to technical issues, performance variations based on demand and system load, and delays or failures due to dependencies on third-party services. You acknowledge that such interruptions are not a breach of this agreement.
Third-Party Processing and Security
The Service utilizes third-party cloud computing and GPU providers to process AI generations and requests. While we select reputable providers with industry-standard security practices, we cannot guarantee the privacy or security of data processed through these services. You acknowledge that your inputs and outputs will be processed on infrastructure not directly operated by us. You should not submit sensitive, personal, or confidential information in your API requests that requires guaranteed privacy or security assurances.
Third-Party Processing and Data Sharing
Our Service processes data through third-party AI providers and may integrate with affiliate partners and applications. You acknowledge that: (1) your inputs and outputs may be processed on third-party infrastructure, (2) we may share your information (including email, usage data, API requests/responses, and account details) with our partners and integrations, and (3) third parties may have their own terms and security practices. While we select reputable providers, we cannot guarantee the privacy or security of data processed by third parties. Do not submit sensitive, personal, or confidential information that requires guaranteed privacy.
Model Training and Improvement
We may use API requests and outputs to improve our Service and AI models, monitor for abuse and ensure compliance, and generate aggregate statistics and analytics.
Communication and Marketing
By subscribing to a plan on our Service, you agree to subscribe to newsletters, marketing or promotional materials and other information we may send. However, you may opt out of receiving any, or all, of these communications from us by following the unsubscribe link or by contacting us.
Purchases and Payments
If you wish to purchase any product or service made available through Service ("Purchase"), you may be asked for information relevant to your Purchase including, without limitation, your credit card number, the expiration date of your credit card, your billing address, and your shipping information. You represent and warrant that you have the legal right to use any payment method(s) in connection with any Purchase and that the information you supply to us is true, correct and complete. We may employ third-party services to facilitate payments. By submitting your information, you grant us the right to provide the information to these third parties. We reserve the right to refuse or cancel your order at any time for reasons including but not limited to: service availability, pricing errors, or suspected fraud.
Subscriptions
Service is billed on a subscription basis ("Subscription(s)"). You will be billed in advance on a recurring basis ("Billing Cycle") either monthly or annually, depending on your selected plan. Your Subscription will automatically renew under the exact same conditions unless you cancel it before the renewal date, we cancel it, or we modify the Subscription terms. You must provide accurate billing information and valid payment method. By submitting payment information, you authorize us to charge Subscription fees to your payment method. We may modify Subscription fees at any time. Any fee change will become effective at the end of the then-current Billing Cycle. We will provide reasonable notice of any changes to give you an opportunity to terminate your Subscription before such change becomes effective. We issue refunds for Subscriptions within 3 days of the original purchase of the Subscription.
Content and Output
Our Service generates output based on the Content you provide ("Output"). You are responsible for Content that you submit, including its legality and appropriateness. By submitting Content, you represent that you have the right to submit it, grant us the right to process it for generating Output, and acknowledge that similar inputs may generate similar outputs for other users. We may use Content or Output to provide and maintain the Service, comply with applicable law, enforce our policies, and improve our services as outlined in the Model Training section.
Prohibited Uses
You may use Service only for lawful purposes. You agree not to violate any applicable laws or regulations, exploit or harm minors, send spam or unsolicited promotions, impersonate others, infringe upon others' rights, or interfere with the Service's operation, including overloading or disrupting the service, using automated systems without permission, introducing malicious code, attempting unauthorized access, or conducting denial-of-service attacks.
Account Management
You are responsible for maintaining the security of your credentials and all activity under your account. You must notify us of any unauthorized access. We may suspend or terminate access at our discretion.
Age Restrictions
You must be at least 18 years old or the legal age of majority in your jurisdiction, whichever is higher. By using the Service, you represent and warrant that you meet this age requirement.
Disclaimer of Warranty
THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. WE DO NOT GUARANTEE UNINTERRUPTED SERVICE, ERROR-FREE OPERATION, SECURITY OR RELIABILITY, FITNESS FOR PARTICULAR PURPOSES, OR ACCURACY OF RESULTS.
Limitation of Liability
EXCEPT AS PROHIBITED BY LAW, YOU AGREE TO HOLD US HARMLESS FOR INDIRECT, PUNITIVE, INCIDENTAL, OR CONSEQUENTIAL DAMAGES, LEGAL COSTS AND FEES, PERSONAL INJURY OR PROPERTY DAMAGE, AND ANY SERVICE INTERRUPTIONS OR DATA LOSS. IF LIABILITY IS FOUND, IT WILL BE LIMITED TO THE AMOUNT PAID FOR THE SERVICE.
Termination
We may terminate or suspend service without prior notice, for any reason, and without liability to you. Upon termination, you must stop using the Service, certain Terms provisions will survive, and we may delete your account data.
Governing Law
These Terms are governed by the laws of Australia. Any disputes will be resolved in Australian courts, specifically the courts of the State or Territory in which our principal place of business is located. You irrevocably submit to the exclusive jurisdiction of those courts.
Changes to Service and Terms
We reserve the right to modify or discontinue the Service, change these Terms at any time, and apply changes immediately. Your continued use after changes indicates acceptance.
Waiver and Severability
Failure to enforce any right doesn't waive it. Invalid provisions will be modified to be enforceable. Remaining provisions stay in effect.
Acknowledgement
BY USING THE SERVICE, YOU ACKNOWLEDGE THAT YOU HAVE READ THESE TERMS, YOU UNDERSTAND YOUR OBLIGATIONS, YOU AGREE TO BE BOUND BY THESE TERMS, AND YOU HAVE THE AUTHORITY TO ACCEPT THESE TERMS.
